Seaman Corporation is seeking a Corporate Counsel to join our team! This position will report to our General Counsel, Terry Link, in Wooster.

 

POSITION SUMMARY: As a Corporate Counsel, you will play a crucial role in safeguarding our organization against legal risks by advising business units on legal matters related to their operations, including: contracts, compliance, corporate governance, and mergers and acquisitions . You will be involved in structuring, drafting, and reviewing a variety of legal contracts and documents, as well as assisting in identifying and managing legal risks and developing strategies to mitigate them. Additionally, you will develop company policies and positions on various legal issues and ensure compliance with relevant laws and regulations.

ESSENTIAL DUTIES AND RESPONSIBILITIES: include the following. Other duties may be assigned.

  • Assist General Counsel with drafting and reviewing non-disclosure agreements, vendor supply chain agreements, customer agreements, terms and conditions, and other commercial agreements and documents
  • Conduct legal and factual research and provide written analyses
  • Review and assist with preparation of documents and legal due diligence for real estate and M&A transactions
  • Assist with routine Ohio Secretary of State corporate filings
  • Assist with the use of contract management system
  • Provide strategic legal counsel and advice to cross-functional stakeholders and senior leaders on a broad range of matters
  • Assist with enterprise risk management process to identify and manage strategic risks
  • Collaborate with outside counsel, where necessary
  • Provides training and guidance on legal issues and corporate policies
  • Assist in managing and resolving business disputes

 

Job Requirements

REQUIRED QUALIFICATIONS:

  • Juris Doctor degree from an accredited law school
  • Minimum 5 years of experience in a law firm and/or corporate legal department
